CRAVE GENIUS FIELD NOTES

Going public starts before the announcement

Are your business information and communications ready for public scrutiny?

A company considering public markets needs to prepare how it explains the business as well as how it operates. The company story, investor materials and website need a dependable foundation in approved information. Building that foundation takes coordination well before an announcement is drafted.

Start with the advisors leading the transaction. Your securities lawyers and financial advisors determine the requirements that apply to the intended route and jurisdiction. The communications work needs to fit that process, including who reviews material and when information may be shared.

The British Columbia Securities Commission’s going-public guide describes the prospectus process and the ongoing disclosure obligations of reporting issuers. Those obligations include keeping the public record current through required filings and timely disclosure. A listing announcement is therefore one part of a wider commitment to maintaining company information.

For the creative and communications team, the practical task is to establish a reliable source for company facts. Agree on the approved descriptions of products, operations and leadership. Identify which financial information is authorized for use and who can explain an uncertain point.

An investor presentation, company overview and investor-relations website can then be developed around that information. Their content needs to remain aligned as the company’s circumstances and approved disclosures change. A clear approval process helps prevent an outdated document from continuing to circulate.

Prepare the people who will use the materials as well. Decide who handles investor inquiries, who responds to media and where questions should be referred. The website should give each audience a useful route to the appropriate information and contact.

Allow time for maintenance after launch. Someone needs responsibility for reviewing the materials, updating them following approval and retaining the current versions. This is part of making the communications useful to the business over time.

My role is to develop the business narrative, creative assets and digital tools in coordination with the people responsible for the transaction and disclosure. If you are preparing for public markets, we can discuss the materials your team needs and the review process they must follow.
